Technical Material definition

Technical Material means the models, software (including source code and object code versions), information, design concepts, audio, video, drawings (including "as built" drawings), programmes, schedules, manuals, diagrams, charts, specifications, records, concepts, plans, formulae, designs (including structural, mechanical, electrical and instrumentation designs) in any medium, methods and processes, including all copies of and extracts from them and data stored by any means. Term means the period commencing on the Start Date and ending on the End Date.
Technical Material means models, software (including source code and object code versions), information, design concepts, audio, video, drawings (including “as built” drawings), programmes, schedules, manuals, diagrams, graphs, charts, projections, specifications, estimates, records, concepts, accounts, plans, formulae, calculations, designs (including structural, mechanical, electrical and instrumentation designs) in any medium (including 2 dimensional and 3 dimensional computer assisted designs), methods, techniques and processes, including all copies of and extracts from them and data stored by any means.
Technical Material means designs, patterns, drawings, plans, specifications, development processes, worksheets, and any other information, manuals, documents, notes, letters, records, computer programs, molds, dies, tooling, equipment and similar property.

Examples of Technical Material in a sentence

  • Documentation, maintenance manuals and drawings relating to the Equipment or the Programs (collectively, "Proprietary Technical Material") that COMPANY may furnish shall be in DISTRIBUTOR's or customer's possession pursuant only to a restrictive, nonexclusive license under which DISTRIBUTOR or customer may use such Proprietary Technical Materials solely for the purpose of operating, servicing and repairing the Equipment and the Programs and for no other purpose.

  • Without limiting the generality of the foregoing, DISTRIBUTOR may not reproduce or copy any Proprietary Technical Material or transfer, assign, sublicense, loan, disclose or otherwise make available all or any portion of such Proprietary Technical Materials to any other person or entity, without prior express written consent of COMPANY.

  • DISTRIBUTOR agrees, upon notice from COMPANY of any termination of the license granted pursuant to this paragraph 7 and, in accordance with any more specific directions from COMPANY, to deliver immediately to COMPANY all Proprietary Technical Material and all copies thereof.

  • Contractor shall furnish to Purchaser, upon the transfer of title to any portion of the System pursuant to this Contract, copies of all technical information, specifications, drawings, designs, sketches, tools, operating data, records, documentation and/or other types of engineering or technical data or information relating to the operation, maintenance or repair of each item of such portion of the System as delivered by Contractor (the "Deliverable ----------- Technical Material").

  • Deliverable Technical Material shall not be deemed to include Deliverable Software.

  • The Provider shall keep all intellectual property of the Owner, Deliverable Technical Material confidential in accordance with Articles 13 and 14.

  • The Owner shall provide the Provider with access to all Deliverable Technical Material held by the Owner to use and operate the Owner's System that is necessary for the Provider to use to fulfill its obligations under this Agreement.

  • Contractor shall furnish to Purchaser, upon the transfer of title to any portion of the System or a System Upgrade pursuant to Article 9, copies of all technical information, specifications, drawings, designs, sketches, tools, operating data, records, documentation and/or other types of engineering or technical data or information relating to the operation, maintenance or repair of each item of such portion of the System or System Upgrade as delivered by Contractor (the "Deliverable Technical Material").

  • If the Owner terminates the Agreement pursuant to Sub-Article 8(B) or Article 9, the Provider will reasonably cooperate with the Owner, at the Provider's expense, by providing the new provider or, in the event the Owner chooses to operate the Owner's System, the Owner with all information reasonably necessary to maintain the Owner's System including without limitation all Deliverable Technical Material to the extent delivered to the Provider.

  • The Software is exclusively owned by FBK and the Licensee cannot claim any property rights or title which are not specifically granted to the Licensee hereunder, including the ownership by FBK of all copyrights, trade secrets, and any other Intellectual Property Rights in Backgrounds, where Background means any pre- existing Technical Material of the Software and the accompanying information.


More Definitions of Technical Material

Technical Material shall be defined as those data, results and reports generated in the course of performing the Research, but does not include any Inventions. All Technical Material conceived and reduced to practice arising out of the performance of the Research shall be jointly owned by the Parties.
Technical Material means diagrams, formulas, explanation, data, technique and quality standard and other verifiable technical data, including proprietary technical interpretation and explanation, and information involving the production and manufacturing of the Contract Product, that are possessed and/or developed by the Licensor, whether or not currently under protection. The Licensor has the full and complete right to disclose the aforementioned material.
