Technical Information & Know-How definition

Technical Information & Know-How means technical information and know-how which is available at the Effective Date or becomes available to Senju during the term of this License Agreement relating to the Preparation, which is necessary or useful for the practice of the Patent Rights, including without limitation, the development of the Preparation, obtaining Government Approval (hereinafter defined) and manufacture of the Preparation in the Territory in possession of or under the control of Senju. Technical Information & Know-How shall include any and all technical information and know-how disclosed by SENJU to ACSENTIENT under Secrecy Agreement and MOU.

Technical Information & Know-How means any and all scientific and clinical data and knowledge which relate to the Product or the Compound, which are necessary or useful for the practice of the Patent Rights and the grant of this Agreement, including without limitation, the development of the Product, obtaining Government Approval, and the manufacture and sale of the Product in the Territory.

Furthermore, SENJU shall provide a listing of all documentation of Technical Information & Know-How to be provided ACSENTIENT under this License Agreement and when specifically requested by ACSENTIENT such documentation will be certified as being an accurate translation of the original documentation.
Such Technical Information & Know-How is in possession of or under the control of Senju, has not been provided to ACSENTIENT under the Secrecy Agreement and MOU, will become available to SENJU thereafter and is useful for planning a marketing strategy of ACSENTIENT.
Such license shall include exclusive right to use the Patent Right and Technical Information & Know-How to the extent that it is necessary for the sole purpose of manufacturing, importing, marketing, promoting, selling and distributing the ophthalmic product containing the Compound in the Territory.
The execution, delivery and consummation of this License Agreement will not result in the breach of or give rise to cause for termination of any agreement to which SENJU may be a party which relates to the Patent Rights and Technical Information & Know-How.

Technical Information & Know-How means any and all confidential and proprietary information, materials, or data, owned by TANABE or TANABE’s Affiliate or licensed from a Third Party (with a right to sublicense in the Territory, subject to the terms of such license) to TANABE or TANABE Affiliate as of the Effective Date or during the term hereof, which relate to the Compound [ * ] and/or the Product that are necessary or useful for the practice of the Patent Rights, including without limitation, the development, manufacture, use and commercialization of the Product, and obtaining Government Approval. For the avoidance of doubt, and without limiting the above, all information, materials and data related to the Compound and/or the Product and that is licensed to TANABE under any TANABE-LICENSOR License Agreement is included in the Technical Information & Know-How. All Technical Information & Know-How shall be provided by TANABE in a writing marked “confidential,” or if orally disclosed, shall be memorialized by TANABE in a writing marked “confidential” and provided to ISTA within [ * ] of its oral disclosure.
