The Executive, the Employer and TEAI agree that the Original Employment Agreement is hereby amended and restated in its entirety and, effective as of the Effective Date, (i) the Original Employment Agreement shall be of no further force and effect, and (ii) all rights and obligations the Executive, the Employer and TEAI may have had under the Original Employment Agreement shall be superseded by this Agreement.
