The parties to this Agreement understand and acknowledge that the Facility Services Department is committed to the planning and provision of safe, clean and healthy learning and working environments for our students, staff and the community in all Toronto District School Board (TDSB) facilities.
Subject to agreement with all bargaining agents and associations at the Toronto District School Board (TDSB) to participate on a Joint Benefits Review Committee and in recognition of the increasing cost of benefits and the desire to explore plan improvements, the Employer shall establish a Joint Benefits Review Committee.

In the event of failure or delay in delivery of the Goods/Services due to any reason whatsoever, Vendor shall, without prejudice to the other rights of TDSB, reimburse TDSB for all actual costs incurred by TDSB in respect of the Goods/Services as a result of such failure or delay in delivery of the Goods/Services.
Approved Fundraising Vendor agrees to indemnify TDSB as per section 9 of this Contract for any commercial electronic messages it sends to TDSB employees under this program.
No failure by TDSB to give written notice of any default by Vendor in performing any provision of this Purchase Order shall constitute a waiver thereof, nor shall any delay by TDSB in enforcing any of its rights hereunder or at law be deemed a waiver of such rights nor shall a waiver by TDSB of any default of Vendor be deemed a waiver of any other or subsequent default.
The rights and remedies of TDSB hereunder are cumulative and in addition to TDSB's rights, powers and remedies existing at law all of which are expressly reserved.
