TCB Financial Statements definition

TCB Financial Statements means (i) the audited consolidated balance sheets (including related notes and schedules, if any) of TCB as of December 31, 2012 and 2011 and the consolidated statements of income, comprehensive income, stockholders’ equity and cash flows (including related notes and schedules, if any) of TCB for each of the three years ended December 31, 2012, 2011 and 2010, and (ii) the unaudited interim consolidated financial statements of TCB as of the end of each calendar quarter following December 31, 2012 and for the periods then ended.
TCB Financial Statements means (i) the consolidated statements of condition (including related notes and schedules, if any) of TCB as of March 31, 2000, and as of December 31, 1999 and 1998, and the related statements of income, changes in shareholders' equity, and cash flows (including related notes and schedules, if any) for the three months ended March 31, 2000, and for each of the three years ended December 31, 1999, 1998, and 1997, included in the TCB Disclosure Memorandum, and (ii) the consolidated statements of condition of TCB (including related notes and schedules, if any) and related statements of income, changes in shareholders' equity, and cash flows (including related notes and schedules, if any) with respect to periods ended subsequent to March 31, 2000.
TCB Financial Statements has the meaning assigned to such term in Section 3.1.5(iv)(4).

  • Except as set forth on Confidential Schedule 4.05(a), the TCB Financial Statements do not contain any items of extraordinary or nonrecurring income or any other income not earned in the ordinary course of business except as expressly specified therein.

  • TCB will deliver Subsequent TCB Financial Statements to Columbia by the earlier of: (1) 5 days after TCB has prepared and issued them or (2) 60 days after year-end for year-end statements, and 45 days after the end of the quarter for quarterly statements.

  • The TCB Financial Statements fairly present or will fairly present, as the case may be, the financial condition of TCB as of the respective dates set forth therein, and the results of operations, changes in stockholders’ equity and cash flows of TCB for the respective periods or as of the respective dates set forth therein, in each case in accordance with GAAP consistently applied during the periods involved, except in each case as may be noted therein.

TCB Financial Statements means (i) the balance sheets (including related notes and schedules, if any) of TCB as of December 31, 2008, 2007 and 2006 and the statements of operations, stockholders’ equity and cash flows (including related notes and schedules, if any) of TCB for each of the three years ended December 31, 2008, 2007 and 2006, (ii) the balance sheet (including related notes and schedules, if any) of TCB as of February 28, 2009 and the statements of operations, stockholders’ equity and cash flows (including related notes and schedules, if any) of TCB for the month ended February 28, 2009 and (iii) the balance sheets of TCB (including related notes and schedules, if any) and the statements of operations income, stockholders’ equity and cash flows (including related notes and schedules, if any) of TCB with respect to the monthly, quarterly and annual periods ending subsequent to February 28, 2009, but prior to the Effective Date.
TCB Financial Statements has the meaning set forth in Section 3.7(a) of the Agreement.
