TB Funds definition

TB Funds means TB DF, TB DFA, TB DFII, TB DFII-A, and ▇▇▇▇▇ ▇▇▇▇▇ Discover Executive Fund II, L.P., each a Delaware limited partnership, and any other investment vehicle or fund controlled by or managed by ▇▇▇▇▇ ▇▇▇▇▇, LLC, a Delaware limited liability company (“▇▇▇▇▇ ▇▇▇▇▇”).

  • Each Company Group Investment Contract pursuant to which a member of the Company Group has received compensation respecting its activities in connection with any of the TB Funds was duly approved and performed in all material respects in accordance with the applicable organizational documents and Applicable Law.

  • The Buyer shall cause the Company Group to continue administering the TB Funds in compliance with their governing agreements, Applicable Law and this Agreement and the other Ancillary Agreements.

  • The TB Fund Financial Statements reflect and disclose all material changes in accounting principles and practices adopted by each of the TB Funds during the periods covered by each TB Fund Financial Statement.

  • As soon as practicable after the Partnership has determined that there will be Available Units, but in any event within 90 days after the Termination, the Partnership shall give written notice (the “Option Notice”) to the TB Funds setting forth the number of Available Units and the purchase price for the Available Units.

  • The TB Funds may elect to purchase any or all of the Available Units by giving written notice to the Partnership within 30 days after the Option Notice has been given by the Partnership.

  • Certain provisions of this Agreement are entered into for the benefit of and shall be enforceable by the TB Funds as provided herein.

  • Except as otherwise provided herein, this Agreement shall bind and inure to the benefit of and be enforceable by Participant, the Partnership, the TB Funds and their respective successors and assigns (including subsequent holders of Incentive Units); provided that the rights and obligations of Participant under this Agreement shall not be assignable without the prior written consent of the Partnership except in connection with a permitted transfer of Incentive Units hereunder.

  • If more than one member of the TB Funds elects to purchase Available Units, the purchase of such Vested Units shall be allocated among the members of the TB Funds based upon the number of Class B Units owned by each member of the TB Funds.
