TAX EQUALIZATION PAYMENTS definition
TAX EQUALIZATION PAYMENTS means an amount, as certified by the Chief Financial Officer of the Company to the reasonable satisfaction of Parent, equal to the sum of the tax equalization payments to be made to certain shareholders of the Company in connection with the consummation of the transactions contemplated by the Agreement as set forth in such Chief Financial Officer certification.
