Tax Case means the Internal Revenue Service's tax investigation dealing with the Company's tax status, as described in the Company's Reports with the SEC, to the extent the Company has incurred or will incur, directly or indirectly, voluntarily or involuntarily, any liability for which it is entitled to be reimbursed under the Atlantic Tax Agreement.
