Target Sites means all of Target's public sites on the World Wide Web excluding sites published by Target's products for Target's customers.

Target Sites has the meaning set forth in Section 3.27(a)(i).

• Following the Closing, the Sellers will promptly deliver to Buyer all logins and passwords of the Target Entities and a copy of the database file with respect to the Target Sites.

• Provide access to or deliver a fully zipped up set of source code for the Target Sites.

• If Customer collaborates with Associated Publishers that own and/or operate the Target Sites, Customer shall have the right to grant each of its Associated Publishers a sublicense to use Account Data concerning its respective Target Sites within the scope and subject to the terms set forth in the foregoing sentence of this Section 6(b).

Target Sites means all of the Acquired Corporations' public sites on the World Wide Web.

Target Sites means the websites and domains listed on Section 3.2(o)(ii)(a) of the Disclosure Schedule. (oooo) “Tax” or “Taxes” means any federal, state, local or foreign income, gross receipts, license, payroll, employment, excise, severance, stamp, occupation, premium, windfall profits, environmental (including taxes under Code Section 59A), customs duties, capital stock, franchise, profits, withholding, social security (or similar), unemployment, disability, real property, personal property, sales, use, transfer, registration, value added, alternative or add-on minimum, estimated or other tax of any kind whatsoever, including any interest, penalty or addition thereto, whether disputed or not and including any obligations to indemnify or otherwise assume or succeed to the Tax liability of any other Person. (pppp) “Tax Claim” has the meaning set forth in Section 8.7. (qqqq) “Tax Return” means any return, declaration, report, claim for refund or information return or statement relating to Taxes, including any schedule or attachment thereto, and including any amendment thereof. (rrrr) “Third-Party Claim” has the meaning set forth in Section 7.4(b) below. (ssss) “Transaction Documents” means, collectively, this Agreement and any ancillary agreements, documents and instruments contemplated hereby or thereby or entered into in connection herewith or therewith. (tttt) “Transferred Employees” has the meaning set forth in Section 5.6. (uuuu) “Unearned Commissions” means the portion of any Commissions which relates to a policy sold or brokered by any of the Target Entities or any of their respective Affiliates pursuant to a Carrier Agreement which is cancelled or adjusted to reduce coverage.
