Target Binder definition

Target Binder means, with respect to a Collaboration Target, any compound that is: (a) discovered or derived from a DEL screen for such Collaboration Target (without any corresponding deoxyribonucleic acid tag), (b) based upon a molecule that has been publicly disclosed, or (c) provided by Gilead as Gilead Materials for use in such Research Program and is Directed To the Collaboration Target of such Research Program (sub-clause (c), a “Gilead Target Binder”).
Target Binder means one or more: [*] that is sufficient to confer specific antigen binding to CD3 or a Lilly Target.

  • Subject to Section 9.3.8, as between the Parties, Lilly has the sole right to initiate any proceedings or take other appropriate actions against: (a) misappropriation or violation of any Lilly Background Know-How, or any Know-How within the Lilly Sole IP [*]; or (b) Infringement of any Lilly Background Patent, or any Lilly Target Binder Patent, or any Patent within the Lilly Sole IP [*] or to defend against any challenge to any of the foregoing.

  • Blueprint is the sole owner of all right, title and interest in and to (free and clear from any Liens of any kind), the existing Blueprint Target Binder Compound Patents (the “Existing Blueprint Patents”).

  • If Sanofi performs any such [*] research activities, then Nurix shall transfer upon request by Sanofi and at no cost to Sanofi, adequate amounts of biological and CTM materials and Target Binder materials (including protocols, control compounds, and reagents for related assays) for such purposes, in each case as may be specified in the applicable Research Plan or otherwise mutually agreed by the Parties via the JRC as reflected in written minutes approved in accordance with Section 9.2.2 of the Agreement.

  • Nurix hereby assigns to Gilead, and will assign to Gilead, all of Nurix's rights, title and interests in and to any and all Gilead Target Binder IP.

  • Any Patent or Know-How covering any derivative or modification of or to a Gilead Target Binder, which derivative or modification (a) was developed by or on behalf of a Party or its Affiliates or jointly by or on behalf of the Parties or their Affiliates under this Agreement and (b) is designed to attach such Gilead Target Binder to a Linker, will be deemed Gilead Background IP (such Patent or Know-How, “Gilead Target Binder IP”).

  • With respect to any Collaboration Target, immediately following the delivery of the Selection Campaign Results for such Collaboration Target to the JRC and identification of Target Binder Hits Directed To such Collaboration Target, Nurix will promptly ▇▇▇▇ and identify all [*] from its DELs by electronic means so as to prevent such [*] Nurix may unmark and restore [*].

  • Gilead will provide Nurix with (a) the Gilead Materials (including any Gilead Target Binder) set forth in the applicable Research Plan and (b) any other data or written materials and information that relate to such Gilead Materials set forth in the applicable Research Plan (“Gilead Documentation”).

  • Upon selection of such Target Binders for a Collaboration Target as a Selected Target Binder, Nurix may unmark and restore Target Binder Hits that are not Selected Target Binders, as well as the Related Binders of the not Selected Target Binders, provided that such Selected Target Binders and Related Binders will remain marked as described in this Section 2.11 (DEL Library Blinding) for the remainder of the applicable Target Exclusivity Period for such Collaboration Target.

  • In addition, Nurix will promptly disclose to Gilead all Gilead Target Binder IP, and will perform all actions reasonably requested by G▇▇▇▇▇ to permit and assist G▇▇▇▇▇ in evidencing, perfecting, obtaining, maintaining, defending and enforcing G▇▇▇▇▇'s rights in Gilead Target Binder IP, including executing all relevant documents (including written assignments to Gilead).

Related to Target Binder

  • Target Population means persons with low incomes who have one or more disabilities, including mental illness, HIV or AIDS, substance abuse, or other chronic health condition, or individuals eligible for services provided pursuant to the Lanterman Developmental Disabilities Services Act (Division 4.5 (commencing with Section 4500) of the Welfare and Institutions Code) and may include, among other populations, adults, emancipated minors, families with children, elderly persons, young adults aging out of the foster care system, individuals exiting from institutional settings, veterans, and homeless people.

  • Company Material Contracts has the meaning set forth in Section 3.13(a).

  • Study Data shall have the meaning set forth in Section 8.1.

  • Reasonably Available Control Technology (RACT) means the lowest emission limit that a particular source is capable of meeting by the application of control technology that is reasonably available considering technological and economic feasibility. It may require technology that has been applied to similar, but not necessarily identical source categories.

  • Material Consents as defined in Section 7.3.
