TAQC s Audited Financials and TAQC's Interim Financials (collectively "TAQC's Financial Statements") are (i) in accordance with the books and records of TAQC, (ii) correct and complete, (iii) fairly present the financial position and results of operations of TAQC as of the dates indicated, and (iv) prepared in accordance with U.S. GAAP (except that (x) unaudited financial statements may not be in accordance with U.S. GAAP because of the absence of footnotes normally contained therein, and (y) interim (unaudited) financials are subject to normal year-end audit adjustments that in the aggregate will not have a material adverse effect on TAQC, its business, financial condition or results of operations).
