Tangible Material definition

Tangible Material means License Material created by [**] and owned by Hospital or Progeny, Replicates, Cross-bred Progeny or Simple Derivatives of License Material and is not confidential information of, or otherwise obligated to, any third party and which Hospital possesses as of Effective Date or has transferred to Company in accord with Third Amendment of Exclusive Option Agreement with a Third Amendment Effective Date of April 5, 2014.
Tangible Material means the cell lines listed in Appendix C including modified cell lines such as those expressing ICOS or other relevant molecules and/or irradiated cell lines which will be transferred by LICENSORS to LICENSEE under this License Agreement and all cell lines derived from the foregoing by LICENSEE, its Affiliates and sublicensees. LICENSORS will transfer the Tangible Materials to LICENSEE upon LICENSEE’s reasonable request; Tangible Material may have been transferred under the material transfer agreement by and between the parties [***]. That material transfer agreement is hereby terminated in full, effective as of the Effective Date, and all of the provisions, rights and obligations thereof will be of no force or effect, and instead this Agreement will govern the Tangible Materials (whether transferred before the Effective Date pursuant to that material transfer agreement or after the Effective Date pursuant to this Agreement).

  • Company has the capability to commercially develop, manufacture, distribute and use Product and Process for public use and benefit and desires to license such Patent Rights, Technological Information, and Tangible Material.

  • Licensee may obtain the right to grant Sublicenses to the Patent Rights, Plant Variety Rights, and/or Tangible Material under this License Agreement to Sublicensees by Licensee requesting and obtaining NCSU’s prior written, express, approval and permission in writing on a case-by-case basis such approval to be granted or denied by NCSU at its sole discretion.

  • LICENSEE shall not thereafter operate or conduct business under any name or mark and in any manner in the Territory that might tend ▇▇ ▇reate the impression that this Agreement is still in force, or that LICENSEE has any right to use any Licensed Patent(s), Licensed Method(s), any trademark or servicemark of UNIVERSITY, and/or any Tangible Material.

  • Company desires a period of time in which to evaluate the Tangible Material and Patent Rights, potential products arising therefrom, and markets therefor, and in which to choose whether to elect to negotiate [ ] for the use of such Tangible Material and Patent Rights.

  • For avoidance of any doubt the aforementioned retention of the right to use the Tangible Material perpetually will not apply if the License Agreement is terminated for any reason prior to expiration of the Term.

  • Such transfer of Tangible Material from NCSU shall be without restriction or limitation of any kind except as expressly provided in this License Agreement.

Tangible Material means all tangible materials including vectors and cell lines, protocols, SOP’s and analytical software that relate to the use of the Monogram Patent Rights, the Monogram Technology or the Assay, each as may be necessary to enable Pfizer to perform the Assay, including all improvements to such tangible materials, which may from time to time be incorporated into the Assay, as they are refined and improved.
