Election to Exercise shall have the meaning attributed thereto in Subsection 2.2(d).
Minimum Exercise Amount means the Minimum Exercise Amount as specified in § 1 of the Product and Underlying Data.
Broker Exercise Notice means a written notice pursuant to which a Participant, upon exercise of an Option, irrevocably instructs a broker or dealer to sell a sufficient number of shares or loan a sufficient amount of money to pay all or a portion of the exercise price of the Option and/or any related withholding tax obligations and remit such sums to the Company and directs the Company to deliver stock certificates to be issued upon such exercise directly to such broker or dealer.
Sponsor Exercise Fair Market Value means the average last reported sale price of the Ordinary Shares for the ten (10) trading days ending on the third (3rd) trading day prior to the date on which notice of exercise of the Private Placement Warrant is sent to the Warrant Agent;
Automatic Exercise Applicable; and means that for each Expiration Date, a number of Warrants equal to the Daily Number of Warrants for such Expiration Date will be deemed to be automatically exercised at the Expiration Time on such Expiration Date.
Notice of Exercise means a notice in writing addressed to the Company at its address first recited, which notice shall specify therein the number of Optioned Shares in respect of which the Option is being exercised;
Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).
Total Exercise Price shall have the meaning set forth in Section 4(a) hereof.
SAR Exercise Price means the per share exercise price of a SAR granted to a Grantee under Section 9 hereof.
Face-to-face means an encounter between Client and provider where they are both physically present.
Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:
Initial Exercise Price shall have the meaning set forth in Section 2.4.1.
Exercise Event shall have the meaning ascribed to such term in Section 2(c).
Expedited Deliverability Study means a deliverability study that an eligible Developer may elect to pursue as that term is defined in OATT Section 25 (OATT Attachment S) that may determine the extent to which an existing or proposed facility satisfies the NYISO Deliverability Interconnection Standard at its requested CRIS level without the need for System Deliverability Upgrades. The schedule and scope of the study is defined in Sections 25.5.9.2.1 and 25.7.1.2 of this Attachment S.
Demand Exercise Notice has the meaning set forth in Section 2.1(a).
Stock Tender Exercise means a Stock Tender Exercise as defined in Section 6.3(b)(ii).
Cash Exercise with respect to Warrant Shares; and/or
Cashless Exercise means a Cashless Exercise as defined in Section 6.3(b)(i).
Top-Up Option has the meaning set forth in Section 1.04(a).
Replacement Options has the meaning ascribed thereto in Section 1.1 of the Plan of Arrangement;
Summary suspension means the immediate suspension of either a facility's license or program-specific certification or both by the department pending administrative proceedings for suspension, revocation, or other actions deemed necessary by the department.
Option Exercise Notice has the meaning provided in Section 3.6 below.
Cashless Exercise Ratio means a fraction, the numerator of which is the excess of the Current Market Value per share of Common Stock on the Exercise Date over the Exercise Price per share as of the Exercise Date and the denominator of which is the Current Market Value per share of the Common Stock on the Exercise Date.
Option Exercise Period has the meaning set forth in Section 5.3(c).
Exercise Form means an Exercise Form in the form annexed hereto as Exhibit A.
