TA Services definition

TA Services means the provision of transfer agency and/or Mutual Fund shareholder recordkeeping or similar or comparable services to a Mutual Fund or to any other Person obligated to provide such services to a Mutual Fund, on a full-service basis (i.e., the services include both the provision of a transfer agency and/or Mutual Fund shareholder recordkeeping system together with a related call center that handles communications between Mutual Fund shareholders and the applicable Mutual Fund, which might include, by way of example, account inquiries, fund transfers, redemptions, purchases and other transactions). For clarity, (i) TA Services shall include services provided for the benefit of a Mutual Fund, on a full-service basis, pursuant to any sub-transfer agency or sub-recordkeeping or similar or comparable arrangement and (ii) TA Services shall not include the provision of remote or other access to a transfer agency and/or Mutual Fund shareholder recordkeeping system without the provision of related call center services.

Examples of TA Services in a sentence

  • TA Services provided for partial months shall be subject to pro ration.

  • GFS will render, after the close of each month in which TA Services have been furnished, a statement reflecting all of the charges for such month.

  • GFS will bear its own expenses in connection with the performance of the TA Services under this Agreement, except (i) to the extent expressly provided otherwise in Section 5 or Appendix III, or (ii) as may otherwise be agreed to in writing by the parties.

  • ANST will render, after the close of each month in which TA Services have been furnished, a statement reflecting all of the charges for such month.

  • GFS’s specific duties with respect to each of the TA Services are detailed in Appendix I to this Agreement.

  • As compensation for the TA Services provided by ANST pursuant to this Agreement, the Trust agrees to pay ANST the fees set forth in Appendix II attached hereto.

  • ANST’s specific duties with respect to each of the TA Services are detailed in Appendix I to this Agreement.

  • If ANST elects to perform such TA Services, ANST shall provide GFS with not less than ninety (90) days’ advanced written notice of such election.

  • TA Services is not liable for losses, late-delivery or non-delivery caused by violation(s) by the Customer of any provisions contained in a ▇▇▇▇ of lading, contract, these Terms and Conditions, or the carrier’s tariff or terms and conditions, nor will TA Services be liable for improper or insufficient packing, securing, marking or addressing, or for failure to observe any of the rules relating to shipments not acceptable for transportation or shipments acceptable only under certain conditions.

  • Fees will begin to accrue with respect to each Fund on the later of (i) the date of this Agreement or (ii) the date GFS begins providing TA Services to such Fund.
