TA Members definition

TA Members means, collectively, TA XI DO AIV, L.P., TA SDF III DO AIV, L.P., TA Atlantic and Pacific VII-A, L.P., TA Investors IV, L.P., TA SDF II DO AIV, L.P., TA SDF II DO AIV II, L.P., TA SDF III XX XXX XX, X.X., XX XX XX XXX II, L.P., TA AP VII-B DO Subsidiary Partnership, L.P. and their Permitted Transferees.

TA Members means, collectively, TA XI DO AIV, L.P., TA SDF III DO AIV, L.P., TA Atlantic and Pacific VII-A, L.P., TA Investors IV, L.P., TA SDF II DO AIV, L.P., TA SDF II DO AIV II, L.P., TA SDF III DO AIV II, L.P., TA XI DO AIV II,L.P., TA AP VII-B DO Subsidiary Partnership, L.P. and their Permitted Transferees. “Tax Distributions” has the meaning set forth in S ection 4.1(e).

TA Members means the TA Class A Member and the TA Class B Members, collectively, and any transferee of either or successor in interest to either.

Examples of TA Members in a sentence

• This Agreement shall terminate with respect to any Holder (a) with the prior written consent of the TA Members in connection with the consummation of a Change of Control, (b) at such time as such Holder does not beneficially own any Registrable Securities, or (c) if earlier, on the date on which such Holder’s Registrable Securities would be freely tradable by such Holder without restriction on the basis of volume limitations under Rule 144.

• TA Members must remember however that TA and/or Triathlon related activity on social media can be reflective of the TA brand.

• Nothing in this Independence Management Plan shall restrict disclosure of information and records to other personnel in TA Members when personnel directly engaged in the TA decisionmaking process consult with such personnel.

• The Transferring Member shall cause the Transaction Offer and all of the terms thereof to be reduced to writing and shall promptly notify the Company and the TA Members of such Transferring Member’s desire to effect the Transaction Offer and otherwise comply with the provisions of this Section 7.4(c) and, if applicable, Section 7.4(d) (such notice, the “Company Offer Notice”).
