Copies of any notices given to Landlord under the Lease shall simultaneously be given to ▇▇▇▇▇▇ & ▇▇▇▇▇▇▇▇▇▇, LLP, ▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇, ▇▇▇▇▇▇ ▇▇ ▇▇▇▇▇, Attn: TA Leasing.
Pursuant to Section 21.9 of the leases included in the Lease Documents, the proposed merger of Petro with and into TA Operating LLC and the subsequent merger of TA Leasing LLC with and into TA Operating LLC are each approved by HPT and it is agreed that neither will constitute a prohibited Change of Control under the Lease Documents.
Simultaneously with such merger, (a) the Lease Agreement, dated January 31, 2007, between TA Leasing and TA Operating for the Improvements on the land described in Schedule 1-A shall terminate and (b) the Sublease Agreement, dated January 31, 2007, between TA Operating and TA Leasing under the Historical TA Lease shall terminate.
HPT, HPT-TA Landlord, TA Leasing, HPT-PSC Landlord, TA Operating (as successor to Petro Stopping Centers, L.P.) and TA LLC are parties to a Deferral Agreement dated August 11, 2008 (as amended, the “Deferral Agreement”).
Prior to such merger, TA Leasing will convey the Legacy TA Property located in Denmark, Tennessee to TA Operating by quitclaim deed.
That certain Stock Purchase Agreement, dated as of July 10, 2004, by and between TA Leasing Holding Co, Inc.
As between HPT-TA Landlord, on the one hand, and TA Leasing and TA Operating, on the other hand, the leases identified on Schedule 12 shall be deemed to have survived any such merger before the Exchange Date but shall terminate on the Exchange Date.
