All outstanding shares of the capital stock of Syscan are duly authorized, validly issued, fully paid and non-assessable and not subject to preemptive rights created by statute, their respective charter documents or any agreement of which Company or Syscan is a party or by which it is bound.

The execution, delivery and performance of this Agreement by Syscan has been duly authorized by all necessary corporate and shareholder action, and this Agreement constitutes the valid and binding obligation of Syscan, enforceable against it in accordance with its terms, except as enforceability may be affected by bankruptcy, insolvency or other laws of general application affecting the enforcement of creditors' rights.
