Syntex definition

Syntex has substantial experience in evaluating and investing in private placement transactions of securities in companies similar to CVT so that it is capable of evaluating the merits and risks of its investment in CVT and has the capacity to protect its own interests. Syntex must bear the economic risk of this investment indefinitely unless the Shares are registered pursuant to the Securities Act or an exemption from registration is available.
Syntex shall include any entity which acquires all or substantially all of the business or assets of each respective entity."
Syntex means Syntex (USA) Inc, the entity to which Roche is a successor in interest under the CVT/Roche Agreement.

  • Syntex will identify a party, either within or outside Syntex, to attempt to identify the FRS.
