Synergy Entities definition

Synergy Entities means Synergy, Simulation and Synergy Biomedical.
Synergy Entities means (i) Synergy and its owners (direct or indirect), Affiliates and co-venturers (whether through a legal entity, by contract or other arrangement or otherwise), (ii) the respective officers, directors, employees, agents, successors, predecessors, representatives, and attorneys of the persons described in clause (i), and (iii) Petrodrill Engineering, Petrodrill Corporation, Petrodrill Two, Petrodrill Three and Petrodrill Offshore; provided, however, that in no case shall the term include Pridemaritima, Petrodrill Four, Petrodrill Five and the Company.
Synergy Entities means Synergy and its Subsidiaries (other than ContraVir), and “Synergy Entity” means any one of the Synergy Entities in place on the Effective Date and any entity which becomes a Subsidiary of Synergy thereafter.

Examples of Synergy Entities in a sentence

  • Without limiting any other provisions of this Agreement, the Parties agree that the rights, representations, warranties, covenants and any other obligations (whether in respect of the period prior to, on or after the date hereof) of Pride Entities, on the one hand, and Synergy Entities, on the other hand, to each other under any agreement, contract or other arrangement that is not an Excluded Agreement are immediately waived, surrendered and terminated in all respects.

  • Parent shall cause the Pride Entities, and Synergy shall cause the Synergy Entities, to honor and give effect to the foregoing release.

  • Synergy shall provide ContraVir with prior written notice of termination of Insurance Coverage pursuant to this Section 9.03 as soon as reasonably practical after Synergy’s determination of the date upon which the Synergy Entities hold shares of ContraVir common stock representing less than a majority of the total outstanding shares of ContraVir common stock.
