Similarly, Davel and PhoneTel, jointly and severally, shall pay all of the reasonable expenses, including, without limitation, reasonable attorneys fees and expenses, incurred by the PhoneTel Syndicate Agent in connection with the preparation, review, negotiation, execution and delivery of this Agreement and the other Transaction Agreements and the consummation of the transactions contemplated herein and therein, whether or not any of such transactions fail to be consummated or are rescinded.

Without the prior written consent of the Agent or the Syndicate Agent, the Transferor shall not transfer the legal or beneficial ownership, or the control, of any Transferee or, except as provided in this Acquisition Agreement and subject to the preceding clause, permit the consolidation, amalgamation or merger of any Transferee with or into another corporation or entity.
