This Agreement may not be amended or modified except by an instrument in writing signed by, or on behalf of, GTS and Swinton.
Each of the Swinton Parties and the Parent has all necessary power and authority to enter into this Agreement, to carry out its obligations hereunder and to consummate the transactions contemplated hereby.
If the foregoing is in accordance with your understanding, please sign and return one counterpart hereof and, upon execution and delivery hereof by you, this Agreement shall constitute a binding agreement among GTS and Swinton.
