The Swell Allowance percentage must be adequate to cover all Unsalable Merchandise.
If the actual value of Unsalable Merchandise at cost exceeds the Swell Allowance, Company reserves the right to charge Supplier the difference.
Supplier will give the Swell Allowance in lieu of actual Unsalable Merchandise deductions being processed at store level.
In no event shall the Swell Allowance apply to or limit TFM’s ability to recover credit through Supplier’s customer service for any of the following: (x) damaged Products, (x) Products ordered in error, (y) List Price adjustments, or (z) Product quality issues.
If damages exceed the Swell Allowance, Company reserves the right to charge the difference to the Supplier.
