Sustaining CapEx definition
Sustaining CapEx means expenditures (including expenditures for the addition or improvement to, or the replacement of, the capital assets owned by the Company Group) made, incurred or accrued by the Company Group to (i) maintain the operating capacity, capital asset base or operating income, or maintain or extend the existing useful life, of the capital assets of the Company Group or (ii) comply with any applicable Law, Permit or other legal requirement or any judgment, decree or order of any Governmental Authority; provided, however, that, with respect to any member of the Company Group that is not wholly owned, directly or indirectly, by the Company and the Subsidiary Sellers, Sustaining CapEx shall be calculated by multiplying (i) the Sustaining CapEx of such member by (ii) the percentage of interest of the Company (or the Subsidiary of the Company having the direct ownership interest in such member) and the Subsidiary Sellers in the profits, losses and capital of such member.
