Surrender Obligations definition

Surrender Obligations means the Building 1 Surrender Obligations and the Building 2 Surrender Obligations.
Surrender Obligations. The parties acknowledge that the FF&E shall become the property of BMR effective upon the Termination Date, subject only to fulfillment or waiver of the Termination Conditions, and that Cell Genesis shall keep in effect any insurance required by the Lease until the fulfillment or waiver of the Termination Conditions. Cell Genesys does hereby grant, bargain, sell, transfer, assign, convey, set over and deliver unto BMR as of the Termination Date all of Cell Genesys’ right, title and interest in and to the FF&E subject only to fulfillment or waiver of the Termination Conditions.

Examples of Surrender Obligations in a sentence

  • If Landlord delivers the Notice of Transfer Termination to Tenant, then (a) this Lease shall terminate upon the Proposed Transfer Date and (b) upon the Proposed Transfer Date, provided Tenant has performed all Surrender Obligations, Tenant shall be released from all further obligations accruing under this Lease from and after the Proposed Transfer Date.

  • In the event the costs and expenses associated with the Surrender Obligations are less than the amount of the Security Deposit Company shall, promptly after its receipt of the Security Deposit from the landlord (or its representative) for the Wilmington Premises, pay to Parent any such remaining amount.

  • If Lessee performs its Surrender Obligations for the premises and Building 2 on or before the Applicable Surrender Dates, then the Warrant and any Warrant Shares held by the Escrow Agent following an exercise of the Warrant shall be surrendered by Lessor and the Escrow Agent to Lessee upon demand.

  • If Lessee completes its Building 1 Surrender Obligations on or before the Building 1 Surrender Date and completes its Building 2 Surrender Obligations on or before the Building 2 Surrender Date and no default by Lessee exists, then upon Lessee's demand, Escrow Agent will return any Escrowed Shares then held by the Escrow Agent to Lessee.

  • If Tenant’s performance of the Surrender Obligations would damage or otherwise affect the Building structure, Tenant shall give Landlord prior written notice thereof and Landlord may elect to perform selected Surrender Obligations as a Reimbursed Cost.

  • The Security Deposit may be used by Landlord to remedy any default by Tenant, to repair damage caused by Tenant to any part of the Center, and to undertake on Tenant’s behalf any Surrender Obligations which Tenant has failed to complete as of the date the Premises are surrendered to Landlord, as well as to reimburse Landlord for any amount which Landlord may expend by reason of Tenant’s default or to compensate Landlord for any other loss or damage which Landlord may suffer by reason of Tenant’s default.

  • If Landlord terminates this Lease, the termination shall be effective on the date specified in Landlord’s written notice (which shall be at least fifteen [15] days after the sending of such notice) and upon the date Tenant vacates the Premises and performs all the Surrender Obligations, Landlord shall pay to Tenant the Unamortized Amount.

  • In consideration of, among other things, the this Agreement, the extension of the Lease term for Building 1, and to secure the Lessee's Surrender Obligations, on or before March 5, 2004, Lessee shall arrange for issuance of a Letter of Credit to Lessor, as beneficiary, in the maximum drawing amount of One Million Dollars ($1,000,000).

  • GOLD STANDARD shall have the right but not the obligation, to remove from the Property all property belonging to or installed by it, including but not limited to machinery; equipment; buildings; structures; fixtures; ores, waste, and other materials; and concentrated products of ores or other materials (collectively, "Personal Property").

  • BMR and Cell Genesys agree that BMR and Cell Genesys are excused as of the Termination Date from any further obligations with respect to the Lease, excepting only the obligations herein, the Surrender Obligations and the indemnity obligations of Cell Genesys under Sections 15.1 and 29.5 of the Lease (collectively with the Surrender Obligations, the “Surviving Obligations”).
