Surrender Documents definition

Surrender Documents means (i) a certificate representing shares of Original PowerBrief Common Stock or Original PowerBrief Preferred Stock, (ii) a letter of transmittal for such certificate which shall specify that delivery shall be effective upon delivery of such certificate to the Warrant Agent, and (iii) such other documents as the Warrant Agent reasonably requires.
Surrender Documents means a surrender of the lease (in the form of a Deed and registrable instrument if this lease is registered) and all such declarations as may be required to facilitate assessment of stamp duty with respect to the Surrender;

  • Upon receipt by the Warrant Agent of Surrender Documents for shares of Original PowerBrief Preferred Stock, the Warrant Agent shall countersign, issue and deliver to the holder of such certificate of Original PowerBrief Preferred Stock a Warrant Certificate representing three (3) Warrants for each share of Original PowerBrief Preferred Stock represented by the certificate so surrendered.

  • Upon receipt by the Warrant Agent of Surrender Documents for a certificate of shares of Original PowerBrief Common Stock, the Warrant Agent shall countersign, issue and deliver to the holder of such certificate of Original PowerBrief Common Stock a Warrant Certificate representing one (1) Warrant for each share of Original PowerBrief Common Stock represented by the certificate so surrendered.
