During the term of the Option Agreement, the Authority, Developer and City successfully completed all applications for the subdivision of the Remainder Cells, to adjust the horizontal and vertical subdivision lines separating the Surface Lot of the Remainder Cells (the “Property”) from horizontally and vertically adjoining lots so as to match the final design of the Project (the “Subdivision”).
The 157 Acre Site has also been vertically subdivided into a surface lot (the “Surface Lot”) and a subsurface lot (the “Subsurface Lot”), which lots are referenced as Parcel 1 (Subsurface Lot) and Parcel 2 (Surface Lot) of Parcel Map No. 70372 (per map filed in Book 377 Pages 76-89, inclusive, of maps in the Office of the County Recorder for Los Angeles County (the “Official Records”)), as shown on Exhibit B, attached hereto.
The real property interests comprising the Remainder Cells Surface Lot, the Subsidence Easement Area, the Subjacent Support Easement Area, the Utility Easements, and such other easements and rights, if any, with respect to the 157 Acre Site as Developer may acquire from Authority pursuant to the Grant Deed made by Authority in favor of Developer, recorded concurrently herewith (the “Grant Deed”) are referred to herein collectively as the “Developer Property”.
At all times during the Term of this Lease and any Renewal Term, Tenant shall be solely and exclusively responsible for all maintenance of the Surface Lot, and all operational expenses associated therewith.
The lease for spaces in the Surface Lot would have a term of at least 5 years.
Tenant understands and agrees that Landlord does not assume any responsibility for any damage or loss to any automobiles parked on the Surface Lot and/or the Parking Structure, or to any personal property located therein or thereon, or for any injury sustained by any person in or about the Surface Lot and/or the Parking Structure.
The Landlord shall retain the right to replace said parking spaces during the Term of this Lease if a plan for construction of a parking garage in lieu of the Surface Lot is agreed upon between the Parties.
As used in this Lease, references to the “Land” on which the Building and the Surface Lot are located mean “Parcel 4” as identified on Exhibit G and references to the “Land” on which the Amenity Center and the Phase II Parking Garage are located mean “Parcel 3” as identified on Exhibit G.
Subject to the terms of the Lease, including, without limitation, Landlord’s reservation of rights under Section 2.2, Tenant shall have access 24 hours per day, seven days per week, 365 days per year to the Premises, Building, the Surface Lot and the Phase II Parking Garage.
