Support Date means the date on which counterpart signature pages to this Agreement have been executed and delivered by the Company and holders of at least 66.67% of the aggregate principal amount of the outstanding Priority Guaranteed Notes and holders of at least 66.67% of the aggregate principal amount of the outstanding Legacy Notes or such earlier date as is agreed by the Company and the Requisite Consenting Creditors (with an email between Skadden, Kramer, and Milbank to be sufficient for such purposes).

• Within a reasonable time prior to April 1, 2027, the Parties will coordinate in good faith to confirm the End of Support Date.

More Definitions of Support Date

Support Date means the date on which all of the following conditions have been satisfied or waived in accordance with this Agreement: (i) each of the Parties shall have executed and delivered counterpart signature pages to this Agreement each of the other Parties and (ii) the Debtors shall have paid all reasonable and documented fees and out of pocket expenses of Senior Lender for which an invoice has been received by the Debtors on or before the date that is one (1) Business Day prior to the Support Date.

Support Date has the meaning given in Section 5.15.6 of the Credit Agreement.
