Supply Relationship definition

Supply Relationship. The term "Supply Relationship" means all prior business dealings between StorMedia and any of its affiliates, on the one hand, and Seagate and any of its affiliates, on the other hand, involving the Supply Agreement, including without limitation (i) the negotiation, execution and delivery of the Supply Agreement and all documents and communications ancillary thereto, (ii) all conduct, actions and failures to act of Seagate and any of its affiliates or StorMedia and any of its affiliates in connection with the Supply Agreement (including, without limitation, the termination of any product program by Seagate), (iii) any alleged oral understanding, implied agreement, course of conduct, commitment or other obligation under or relating to the Supply Agreement, (iv) any performance or nonperformance by Seagate or StorMedia, or their respective affiliates under the Supply Agreement, and (v) any matters referred to in the recitals to the Supply Agreement.

  • The parties shall meet periodically [***] at meetings to be organized by the OptiNose Supply Relationship Manager and the VTM Supply Relationship Manager to discuss, agree upon, and oversee implementation of initiatives to plan Capacity and OptiNose Equipment requirements, improve the DSA manufacturing process to improve quality and to reduce cost and price for the benefit of both parties.

  • The parties shall meet periodically [***] at meetings to be organized by the OptiNose Supply Relationship Manager and the Ximedica Supply Relationship Manager to discuss, agree upon, and oversee implementation of initiatives to plan Capacity and OptiNose Equipment requirements, improve the LDSA manufacturing process to improve quality and to reduce cost and price for the benefit of both parties.

  • Any Supply Relationship Manager may be removed by the party appointing such person by providing two (2) Business Days written notice to the other party.

  • In the event of a termination of the Order by Buyer as a result of Buyer ceasing to be a supplier to the Customer for the vehicle program in respect of which Buyer issued the Order, Buyer shall only be obligated to compensate a Supplier in a Directed Supply Relationship for any costs under this Section if, when, and only to the extent that the Customer reimburses Buyer for such costs.

  • It is agreed by both Parties that the Licensed Product Rights shall be subject to the relationship of API Supply Relationship between Licensor and Licensee and their affiliates.

  • Notwithstanding anything contained in this Section 18 to the contrary, financial information provided by Seller to Buyer hereunder pursuant to a Directed Supply Relationship may be provided to the Customer if Seller fails to provide Buyer with adequate reasonable assurance of Seller's financial capability to perform any of Seller's obligations under the Order on a timely basis.

  • At the Closing, Buyer and Seller shall enter into the Supply Relationship Agreement.

  • The Supply Relationship Managers shall participate in regular meetings to review the parties’ performance hereunder, to resolve any issues arising out of the Agreement, and to otherwise manage the parties’ relationship under this Agreement.

  • Notwithstanding anything contained in this Section to the contrary, financial information provided by Supplier to Buyer hereunder pursuant to a Direct Supply Relationship may be provided to the Customer if Supplier fails to provide Buyer with adequate reasonable assurance of Supplier’s financial capability to perform any of Supplier’s obligations under the Order on a timely basis.

  • This Agreement shall be automatically expired or terminated provided that the API Supply Relationship expires or terminates.
