Supplier Security definition

Supplier Security means any security, security agreement or security interest now or in the future held by the Supplier from the Dealer in respect of the Financed Inventory.

  • This Purchase Order, together with any attachments, exhibits, manuals, or supplements specifically referenced herein, and any written, existing "Supplier Confidentiality Agreement" (a.k.a. "Supplier Agreement", "Supplier Security Agreement") or the like entered into between Buyer and Seller, constitutes the entire agreement between Seller and Buyer with respect to the matter it contains and supersedes all prior oral or written representations and agreements.

  • REC Supplier shall have the obligation, in such case, to meet Buyer’s performance assurances or alternatively post and maintain REC Supplier Security in an amount of 5% of the total notional dollar value of this Agreement.

  • ATB consents to the creation and issuance by the Dealer to the Supplier of the Supplier Security and to the incurring by the Dealer of the indebtedness and obligations secured by it.

  • Existing Suppliers that complied with a previous version of the Supplier Security Addendum must review and adhere to instructions in this document as We may have included important updates/changes from previous versions.

  • To achieve security compliance, Suppliers and their subcontractors are wholly responsible for implementing all the security controls defined herein to protect the data they manage, host or process for any function or activity implemented on behalf of Us. This Supplier Security Addendum is not intended to be an all-inclusive list of security requirements.

  • During a contract review, a Supplier’s performance of Supplier Security Addendum requirements, the completion of non-compliant security controls plus the Supplier’s track record for prompt remediation ofvulnerabilities will be evaluated.

  • INFORMATION SECURITY PROGRAM Bank of America shall have the opportunity to evaluate the Supplier’s Information Security Program and Supplier Security Controls to ensure Supplier’s Compliance with the Section entitled “Confidentiality and Information Protection.” The Supplier’s Information Security Program (the “Program”) shall address the Bank Security Requirements described below.

  • Bank of America shall provide Supplier with the Service Provider Security Requirements document outlining such Bank Security Requirements and Supplier Security Controls which shall be deemed a part of Bank of America’s Confidential Information under this Agreement.

  • Cyber Security means the condition in which road vehicles and their functions are protected from cyber threats to electrical or electronic components.

  • LCR Security means any commercial paper or security (other than equity securities issued to Parent or any Originator that is a consolidated subsidiary of Parent under GAAP) within the meaning of Paragraph __.32(e)(viii) of the final rules titled Liquidity Coverage Ratio: Liquidity Risk Measurement Standards, 79 Fed. Reg. 197, 61440 et seq. (October 10, 2014).

  • Other Security means any security acceptable to the commissioner other than security meeting the definition of Primary Security.

  • Indexed Security means a Security the terms of which provide that the principal amount thereof payable at Stated Maturity may be more or less than the principal face amount thereof at original issuance.

  • Similar Security means a reference bond or reference bonds issued by the same issuer as the Reference Security having actual or interpolated maturity comparable with the remaining term of the Notes that would be utilised, at the time of selection and in accordance with customary financial practice, in pricing new issues of corporate debt securities of comparable maturity to the remaining term of the Notes.
