Supplier Proprietary Software definition

Supplier Proprietary Software means Software and related Documentation: (1) developed and owned by Supplier, or (2) developed by a third party for, and owned by Supplier, which is used for the performance of the Services, excluding, the Embedded Supplier Proprietary Software.
Supplier Proprietary Software means the Software, including the Software set forth in Schedule 14.3, and Related Documentation owned, acquired or developed by or on behalf of Supplier and used in connection with the Services, including any modifications, enhancements, or derivative works of such Software, but specifically excluding any PacifiCare Software, Supplier Third Party Software.
Supplier Proprietary Software means all computer programs, supporting Documentation and materials, and the intellectual property rights related thereto, that are owned by or licensed exclusively to Supplier, as set forth on Attachment 10.3.

Examples of Supplier Proprietary Software in a sentence

  • Supplier Proprietary Software shall be and shall remain the exclusive property of Supplier, and Supplier Third Party Software shall be and remain the exclusive property of licensors to Supplier.

  • Supplier hereby grants to Gap during the Term and for a period of * after the transition period set as forth in Section 34.3 (Termination Transition Period), solely to receive and use the Services, a * to Supplier Proprietary Software and Supplier Third Party Software used in connection with the Services.

  • Depending upon the products and services You elect to access through Electronic Access, You may be provided software owned by BNY Mellon or licensed to BNY Mellon by a BNY Mellon Supplier ("Proprietary Software").

  • All rights not expressly granted to Chordiant in this Agreement with respect to the Supplier Proprietary Software and Supplier Tools are reserved to Supplier.

  • Gap agrees to use commercially reasonable efforts to complete its transition from Supplier Proprietary Software during the Termination Transition Period.

  • Upon Chordiant’s request, Supplier shall provide to Chordiant or Successor support and maintenance services for any Supplier Proprietary Software, Supplier Tools, and Work Product licensed or otherwise provided under this Agreement on terms, conditions, and prices agreed upon by Supplier and Chordiant or Successor, as applicable, which shall in no event be less favorable to Chordiant or Successor than Supplier’s most favorable terms, conditions, and prices for such services provided to similar customers.

  • Upon LS&Co.’s request, Supplier shall provide to LS&Co. or Successor support and maintenance services for any Supplier Proprietary Software licensed under this Section 25.3(b) on terms, conditions, and prices agreed upon by Supplier and LS&Co. or Successor, as applicable, which shall in no event be less favorable to LS&Co. or Successor than Supplier’s usual and customary terms, conditions and prices.

  • Supplier hereby grants to County during the Term and for a period of eighteen (18) months after the Termination Transition Period as set forth in Section 26.3 (Termination Transition Period), solely to receive and use the Services, a world-wide, royalty-free, non-exclusive, paid-in-full, and non-transferable (except as set forth in Section 31 (Assignment)) license to the Supplier Proprietary Software and Supplier Third Party Software used in connection with the Services.

  • County agrees to use commercially reasonable efforts to promptly complete its transition from the Supplier Proprietary Software.

  • Attachment 10.3 reflects the agreement of the Parties on the Effective Date regarding the foregoing issues with respect to the Supplier Proprietary Software and Supplier Licensed Software.
