Supplier Property definition

Supplier Property means, collectively, all products, hardware, software, Systems, content, Documentation. Confidential Information, Trade-marks, information or Intellectual Property Rights (including business rules, business processes and business process flows) that (a) were in existence and owned by Supplier before the Effective Date; or (b) were acquired, procured, created, provided, developed or delivered by Supplier (whether alone or jointly with one or more Persons, other than Customer or a Person on behalf of Customer) or created or developed for or licensed to, any Supplier Group Member or Supplier subcontractor by other Persons after the Effective Date other than in connection with this Agreement, and of all Intellectual Property Rights therein. Supplier Property specifically excludes all Customer Property.
Supplier Property means Products that the Purchaser has not paid for as required under this Contract whereby the Seller retains title to the Products; “Supply” includes sale and Delivery of Product and vice versa.
Supplier Property means Intellectual Property (1) created or acquired by Supplier before the Effective Date of the Purchasing Document and not assigned pursuant to a Purchasing Document or (2) independently developed by or for Supplier as part of Supplier’s normal business and not developed for or paid for by SFDC under a Purchasing Document. Supplier Intellectual Property may be included as part of the Goods, Deliverables, or Services, but the title to such Supplier Intellectual Property shall remain with Supplier. However, except as provided in this section 9.2, for any Supplier Property incorporated into the Deliverables, Goods, or Services, Supplier grants SFDC a fully-paid up, perpetual and irrevocable, world-wide, non-exclusive license to:

Examples of Supplier Property in a sentence

  • The cost of changes to Supplier Property required from time to time, whether for Required Changes or otherwise, shall be paid by Supplier.

  • All tools, equipment, materials or other proprietary information with respect to Supplier’s manufacturing methods or processes and all intellectual property rights in the foregoing, owned by Supplier as of the effective date of this agreement or developed or improved during the Term, that are not GEHC Property pursuant to section 19.1, shall be deemed Supplier Property, with all rights thereto owned exclusively by Supplier.

  • All right, title, and interest in and to the Supplier Property is and will remain in Supplier, and Supplier will not be restricted in any way with respect to the Supplier Property.

  • The Supplier must provide to AOT and its agents, information and descriptions relating to the Supplier, Property and Product, including the relevant rates (Supplier Information) for the purpose of it being reproduced, passed on and distributed to third parties (ie: TMCs) in any medium including but not limited to CD Roms, DVD’s, websites, videos, brochures, databases, reservation systems, travel agents and third party portals.

  • For avoidance of doubt, Supplier Property excludes any Zogenix Property, Improvements and Developments.


More Definitions of Supplier Property

Supplier Property means all property, including without limitation, models, tools, equipment, copies of designs and documentation and other materials that may be furnished to Agilent by Supplier or on Supplier’s behalf or separately paid for by Supplier for use by Agilent in connection with this Agreement.
