Supplier Orders definition

Supplier Orders means orders for items of Stock placed by the Seller with suppliers prior to the Completion Date which remain to be fulfilled in whole or in part at the Completion Date;
Supplier Orders means all contracts or orders placed by or entered into on or before the Effective Time by or on behalf of the Seller Parties for the supply of Seller Products which are required in order to fulfil a Customer Order, which at the Effective Time remain to be performed in whole or in part, details of which are set out at Part 4 of Exhibit A.

Examples of Supplier Orders in a sentence

  • To the sole discretion of the Supplier, Orders and Standing Orders placed by the Client prior to termination of the Agreement and which have not yet been delivered by the Supplier to the nominated Client address shall be classed as valid orders.

  • All Supplier Orders made by Seller that are outstanding as of the time of the Closing shall have been made in the ordinary course of business.

  • Prior to the closing, Seller placed purchase orders (the “Pre-Closing Supplier Orders”) on behalf of and for the benefit and account of Buyer, with Seller’s suppliers for products (the “Post-Closing Delivered Products”) of the Nu Hair and Shen Min Brands, which Pre-Closing Supplier Orders are identified on Schedule 1.3(b) attached hereto.

  • CDES M/A-COM may elect to set off amounts owed to MTS pursuant to Section 4A(b) in order to make payments on Supplier Orders, provided that CDES M/A-COM provides MTS at least three business days prior written notice of any such set off.
