Supplier Error definition

Supplier Error means the failure to perform, the negligent performance or willful misconduct in the performance, by the Supplier, its Affiliates or their respective officers, agents or employees of any obligation imposed upon or assigned to Supplier under this Agreement.

  • If the Managed Services fail in any material respect to conform with the Managed Service Specification where the failure is the fault of the Supplier (Error), the Client shall give the Supplier a detailed description of any such non-conformance in writing, within the five-day review period.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • Supplier means the successful bidder who is awarded the contract to maintain and administer the required and specified service(s) to the State.
