Sunmarks Interest has the meaning set forth in the recitals to this Agreement.

The Sunmarks Interest comprises 100% of Sunmarks’ equity interests that are issued and outstanding, the Sunmarks Interest has been duly authorized and validly issued and is fully paid (to the extent required by the Governing Documents of Sunmarks) and free of preemptive rights, and no holder of the Sunmarks Interest has any obligation to make capital contributions to Sunmarks by virtue of its ownership of such Sunmarks Interest.
