Summit Funds definition

Summit Funds is defined in the Preamble of this Agreement.
Summit Funds means the investment limited partnerships and Cayman Islands exempted companies advised by any Adviser or affiliate of any Adviser and offered to third party investors under private placement exemptions from registration under the Securities Act and the Investment Company Act.
Summit Funds means Summit Ventures VI-A, L.P., Summit Ventures VI-B, L.P., Summit VI Advisors Fund, L.P., Summit VI Entrepreneurs Fund, L.P., Summit Investors VI, L.P., Summit Partners Private Equity Fund VII-A, L.P., and Summit Partners Private Equity Fund VII-B, L.P., each a Delaware limited partnership.

  • This Agreement shall replace the Prior Agreement in its entirety and be in effect for a term commencing on the Effective Date and terminating on the earlier to occur of (i) the date that the Summit Funds and KRG no longer own any Equity Securities of Parent and its subsidiaries and (ii) a Liquidity Event or Public Offering.

  • This Agreement shall continue in effect for the benefit of the Indemnitee and such spouses, heirs and personal and legal representatives and in the case of Section 2(e), the Summit Funds, regardless of whether Indemnitee continues to serve as a director, officer, employee, controlling person, agent or fiduciary of any Covered Entity.

  • The Summit Funds agree that promptly, and in all events within five (5) business days following execution of this Agreement, they will give notice under the Shareholders Agreement dated December 17, 1999, between HRA and the founders and shareholders of HRA of the exercise of their right to compel all holders of Company Capital Stock to participate in the Merger on the terms herein described.

  • This Agreement shall be binding upon and inure to the benefit of and be enforceable by the parties hereto and their respective successors and assigns (including with respect to the Company, any direct or indirect successor by purchase, merger, consolidation or otherwise to all or substantially all of the business and/or assets of the Company) and with respect to Indemnitee, his or her spouse, heirs, and personal and legal representatives and in the case of Section 2(e), the Summit Funds.

  • Fresh Funds means funds that:

  • Sub-Fund means a segregated pool of assets and liabilities into which the Trust Fund is divided, established under the Trust Deed and the relevant supplemental deed as a separate trust as described in the relevant Appendix.
