Summa means Summa Servicios Corporativos Integrales S.A.S., an affiliate of Cementos Argos.
Summa or the “Company”), and relates to all of the outstanding shares of common stock, par value $0.001 per share (the “Shares”), of Summa. Summa’s Board of Directors unanimously (1) approved, adopted and declared advisable the Merger Agreement, the merger of Purchaser with and into Summa, which is expected to follow completion of the Offer, as set forth in the Merger Agreement (the “Merger”) and the other transactions contemplated by the Merger Agreement, (2) determined that the terms of the Offer and the Merger are fair to and in the best interests of its stockholders, and (3) recommends that the holders of Shares accept the Offer and tender their Shares to the Purchaser pursuant to the Offer. The Offer is not subject to a financing condition. The Offer is conditioned upon, among other things, (1) there having been validly tendered in the Offer and not withdrawn prior to the expiration of the Offer that number of Shares which represents at least a majority of the then outstanding Shares, (2) any requisite waiting period under the ▇▇▇▇-▇▇▇▇▇-▇▇▇▇▇▇ Antitrust Improvements Act of 1976, as amended (the “HSR Act”), applicable to the purchase of Shares pursuant to the Offer or to the Merger having been terminated or having expired, and (3) the satisfaction or waiver of certain other conditions set forth in the Merger Agreement. See Section 15 of this Offer to Purchase entitled “Certain Conditions of the Offer.” Any stockholder desiring to tender all or any portion of its Shares should either (1) complete and sign the Letter of Transmittal (or a manually signed facsimile thereof) in accordance with the instructions in the Letter of Transmittal and mail or deliver it, together with the certificate(s) representing tendered Shares and any other required documents, to the Depositary (as defined herein) or tender such Shares pursuant to the procedures for book-entry transfer described in Section 3 of this Offer to Purchase entitled “Procedures for Accepting the Offer and Tendering Shares” or (2) request its broker, dealer, commercial bank, trust company or other nominee to effect the transaction for it.
