Summa or the “Company”), and relates to all of the outstanding shares of common stock, par value $0.001 per share (the “Shares”), of Summa. Summa’s Board of Directors unanimously (1) approved, adopted and declared advisable the Merger Agreement, the merger of Purchaser with and into Summa, which is expected to follow completion of the Offer, as set forth in the Merger Agreement (the “Merger”) and the other transactions contemplated by the Merger Agreement, (2) determined that the terms of the Offer and the Merger are fair to and in the best interests of its stockholders, and (3) recommends that the holders of Shares accept the Offer and tender their Shares to the Purchaser pursuant to the Offer.
