Subordinate Lien Fee definition

Subordinate Lien Fee means a fee that arises immediately upon the attachment of a lien or security interest in favor of any third party involving any competing secured party who has not entered into a subordination agreement prior to the closing of this transaction in a form reasonably acceptable to Purchaser in the amount set forth in Item 8 of the Schedule. The Subordinate Lien Fee shall be inapplicable to any lien or security interest in favor of any third party involving any competing secured party who after the date of this Agreement is granted such lien or security interest with the consent of Purchaser.
