Subgroup Parent definition

Subgroup Parent is amended to read as follows:
Subgroup Parent means each of Liberty, International, Technology, --------------- TCIC, TCICI, Starz, CT and any other First-Tier Subsidiary formed or acquired after the date hereof.
Subgroup Parent means the corporation that is the controlling member of a Subgroup. In the case of a Subgroup that consists of a single corporation, Subgroup Parent means that corporation.

  • Upon notice from the Parent to the Subgroup Parents of the amount of the Subgroups’ share of the estimated or actual tax payment to be made, each Subgroup Parent shall make payment of its share to the Parent, provided that such required payment to the Parent shall not significantly, and in no case by more than ten business days, precede the time that a consolidated estimated or actual current tax liability would be due to the tax authorities.

  • Except as otherwise expressly provided in Section ------------ I.1. of this Agreement, the provisions of this Agreement shall apply to any Raised Subsidiary with the same effect as to any other Subgroup Parent.

  • Each Subgroup Parent shall provide such information to Parent as may be requested by Parent in calculating estimated or actual tax amounts.

  • Holdings will defend, indemnify and hold harmless each member of the Holdings Group from and against all liability relating to federal income taxes (including interest, penalties and additions to tax), and all costs and expenses described in paragraph 4 hereof, for each taxable year except to the extent that a Subgroup Parent within the Holdings Group has agreed to make a payment in respect of such liability under the provisions of this Agreement which payment has not been made.

  • For purposes of making the estimated U.S. federal income tax liability computations required by this Agreement, Parent and Subgroup Parent may rely on the same income and loss projections they generally use in their overall tax planning.

  • As provided herein, the Intercompany Account for each Subgroup Parent shall be credited with any Tax Benefit attributable to such Subgroup Parent's Subgroup or any Subgroup Member thereof and shall be charged with any Tax Liability attributable to such Subgroup Parent's Subgroup or any Subgroup Member thereof.

  • Any net liability will be settled with the Subgroup Parent in accordance with federal estimated tax payment requirements with final payments/refunds paid within 30 days after Subgroup Parent makes or receives a final payment to or receipt of refund from Parent.

  • Any amount payable by a Subgroup or a Subgroup Member to TCI (or charged to the Intercompany Account of the appropriate Subgroup Parent) pursuant to this Section F.2. shall be reduced to reflect any amount paid directly by such Subgroup or Subgroup Member to any government or taxing authority to satisfy the increased tax liability taken into account in computing such payment.

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • mixed financial holding company means a mixed financial holding company as defined in point (21) of Article 4(1) of Regulation (EU) No 575/2013;
