Sub-Seller definition

Sub-Seller means any person, firm or company, other than SELLER, supplying GOODS or services in connection with PURCHASE ORDER to SELLER.
Sub-Seller means any person/ party (other than the Seller) named in the contract or otherwise for the supply of any part of the Plant and equipment or any person/ party to whom any part of the contract has been sub-let with the consent in writing of the Purchaser and the sub Seller’s legal successors in title, but not any assignee of the sub- Seller.
Sub-Seller means any person / firm / company to whom/ which the Selle subcontracts any portion / whole of the supplies of this Order under the terms and conditions stipulated hereunder, with prior approval of Buyer.

Examples of Sub-Seller in a sentence

  • FFT will have no responsibility for any termination charges or cancellation fees charged to Seller by any third party that are applicable to terminated subcontracts as a result of any withdrawal or cancellation of Goods and Services or FFT´s demand that Seller replace a SubSeller as permitted under this Agreement.

  • Unless otherwise agreed to by FFT in a signed writing, Seller will be responsible and liable for any failure by any SubSeller to perform in accordance with the Offer and these General Terms and Conditions .

  • Any proposed engagement of a new SubSeller (whether in substitution of an existing SubSeller or not) requires FFT’s written approval.

  • Seller will comply with such a direction and continue to perform its obligations under this Agreement, notwithstanding the removal of the SubSeller.

  • Seller (or a Sub-Seller, as appropriate) shall assume for purposes of Section 365 of the Bankruptcy Code such Accepted Contracts as Buyer directs from time to time, and shall use commercially reasonable efforts to obtain the Bankruptcy Court's approval thereof.

  • Any grant by Seller or any Sub-Seller after the Term Sheet Date to anyone other than Buyer of any right, by lease or otherwise, to use or possess any Acquired Asset after the Closing shall, unless such right was granted upon the prior written approval of the Manager (which consent may be withheld by the Manager in its sole discretion), be deemed to be a "sale" by such Seller Party for purposes hereof.

  • Seller and each SubSeller must comply with all air pollution control rules, regulations, ordinances, statutes, and Project specific permit requirements of the Bay Area Air Pollution Control District and all other regulatory agencies that apply to any Work performed.

  • To the extent that any Accepted Contract is not assumable by Seller (or a Sub-Seller) under Section 365 of the Bankruptcy Code, Seller shall use commercially reasonable efforts to obtain, prior to the Closing Date, such consents as may be necessary for the assignment of such Accepted Contracts to Buyer (or a Sub-Buyer).

  • Seller must not discriminate against any SubSeller, employee, or applicant for employment because of age, race, color, national origin, ancestry, religion, sex/gender, sexual orientation, mental disability, physical disability, medical condition, political beliefs, organizational affiliations, or marital status in the recruitment, selection for training including apprenticeship, hiring, employment, utilization, promotion, layoff rates of pay or other forms of compensation.
