Stulln definition

Stulln means Pharma Stulln GmbH. Stulln’s Knowledge has the meaning as defined in Section 6.6. Signing Date means the date on which this Agreement is signed by both Stulln and CMS. Tax means (i) any and all taxes within the meaning of sec. 3 of the German Tax Code (Abgabenordnung), or corresponding foreign Law provisions (ii) any other levies or duties (Abgaben) under German or foreign Law, including (but not limited to) customs duties and social security contributions, (iii) any obligation to repay public allowances (Zulagen) or subsidies (Beihilfen), (iv) administrative fines, (v) secondary liability (Haftungsschulden) for any of the aforementioned items, (vi) any liability for payment of amounts referred to in clauses (i) through (v), in particular as a result of any tax sharing, tax indemnity or tax allocation agreement and (vii) in each case together with any interest, penalty, fine or addition thereto Trademarks means the trademarks used for the labelling of the Product as listed in Schedule D. Upfront Payment has the meaning as defined in Section 4.2.1 VAT means Value Added Tax

Examples of Stulln in a sentence

  • Stulln has not received during the last three (3) years any notice or other communication (in writing) relating to any violation by the Stulln, or any of its employees, directors or agents, of any third party’s intellectual property rights.

  • Pharma Stulln shall guaranty the quality of product, and being responsible for the product liability as the manufacturer (Please include other guarantees necessary to be enclosed in such Agreement).

  • Stulln has not been notified by any court or governmental authority of any failure, with respect to any Purchased Assets, to comply with any applicable laws.

  • To Stulln’s Knowledge, Stulln does not infringe any rights of third parties with respect to the manufacture and sale of the Product for the Chinese Market.

  • In the case that Pharma Stulln fails to supply the product according to the forecast of product demand provided by CMS, CMS has right to request Euro penalty from Pharma Stulln for each batch short of supply and to deduct from the amount payable to Pharma Stulln in the coming year.

  • Only when Stulln has supplied the Product in strictly compliance with the purchase order or requirements from CMS, Stulln can use the First Big Machine to manufacture its own other products.

  • Stulln is entitled to freely dispose of the Purchased Assets under this Agreement and is not obliged to transfer any of the Purchased Assets to third parties.

  • After the Know-how is transferred to CMS, Stulln undertakes (i) to immediately inform CMS on any development of the Know-how, which is essential for the manufacturing process to improve the quality of the Product and to ensure a consistent high quality of the Product for the Chinese Market and (ii) to make available to CMS all documents and data relating to the development of the Product and which are necessary to implement the development of the Product into the manufacturing process.

  • Stulln is the sole and unrestricted legal, beneficial and economic owner of the Purchased Assets which are free of any Encumbrances and other rights of third parties to purchase or acquire any of the Purchased Assets.

  • The execution, delivery and performance of this Agreement has been duly authorized and approved by all necessary private limited company action with respect to Stulln, and each such authorization and approval remains in full force and effect.

Related to Stulln

  • STU means the Board or the Government company notified by the respective State Government under Sub-section (1) of Section 39 of the Act;

  • Hookah means a water pipe and any associated products and devices which are used to produce fumes, smoke, and/or vapor from the burning of material including, but not limited to, tobacco, shisha, or other plant matter.

  • Panchayat means an institution (by whatever name called) of self-government constituted under article 243B, for the rural areas;
