Structuring Bank definition

Structuring Bank means Deutsche Bank AG, New York Branch.
Structuring Bank has the meaning specified in the recital of parties to this Agreement;

Examples of Structuring Bank in a sentence

  • The Borrowers shall pay to the Agent (for the account of the Structuring Bank) a structuring fee in the amount and at the times agreed in a Fee Letter.

  • The Borrower shall pay to the Co-ordination and Structuring Bank (for its own account), whether or not any part of the Loan its ever drawn down, a structuring and documentation fee in the amount and at the times agreed in a Fee Letter.

  • This clause shall not override clause 37 (Roles of Facility Agent, Security Agent and Co-ordination and Structuring Bank) as it applies to the Security Agent.

  • An amendment or waiver which relates to the rights or obligations of the Agent, any Mandated Lead Arranger, the Bookrunner, the Structuring Bank or any Hedging Bank may not be effected without the consent of, as the case may be, the Agent, the relevant Mandated Lead Arranger, the Bookrunner, the Structuring Bank or the relevant Hedging Bank.

  • The Agent, the Security Agent or any Structuring Bank may accept deposits from, lend money to and generally engage in any kind of banking or other business with any member of the Group.

  • The Structuring Bank and the Administrative Agent shall not have any duty to disclose any information obtained or received by it or any of its Affiliates relating to any Obligor or any of its Subsidiaries to the extent such information was obtained or received in any capacity other than as the Administrative Agent.

  • This shall not, however, affect any obligations that any member of a Co-ordination and Structuring Bank Group has as Facility Agent in respect of the Finance Documents.

  • Except as specifically provided in the Finance Documents, the Mandated Lead Arrangers and Structuring Bank have no obligations of any kind to any other Party under or in connection with any Finance Document.

  • The Facility Agent and the Co-ordination and Structuring Bank may do anything which in its opinion, is necessary or desirable to comply with any law or regulation of any jurisdiction.

  • With respect to its Commitments and the Advances made by it as Lender, each Structuring Bank and the Administrative Agent shall have the same rights and powers under the Finance Documents as any other Lender and may exercise the same as though it were not a Structuring Bank or Administrative Agent.
