  • Notwithstanding any provisions to the contrary contained elsewhere in this Agreement, the following distributions by the Company to Strategic Hotel Capital, L.L.C. are hereby authorized, approved and ratified: (i) the Company's general partnership interests in SHCLP and Strategic Hotel Capital Limited Partnership II, (ii) $[_______] million of available cash and (iii) the Company's interests in the Private Pool Properties (as such term is defined in the Structuring and Contribution Agreement).
