Structured Obligations definition

Structured Obligations means: (a) all indebtedness, obligations and liabilities (including, without limitation, guarantees and other contingent liabilities) of the Assignor to any and all of the Secured Parties relating to the Structured Tranche Loans or the Structured Tranche Settlement Notes and arising under or in connection with any Transaction Document; (b) any and all sums advanced by the Collateral Agent or the Banks in order to preserve the Structured Collateral or preserve its security interest in the Structured Collateral; and (c) in the event of any proceeding for the collection or enforcement of any indebtedness, obligations or liabilities of the Assignor referred to in clause (a), after an Event of Default shall have occurred and be continuing, the reasonable expenses of re-taking, holding, preparing for sale or lease, selling or otherwise disposing or realizing on the Structured Collateral, or of any exercise by the Collateral Agent of its rights hereunder, together with reasonable attorneys' fees and court costs.
