In the event that the Board forms a committee of the Board to oversee or monitor the Strategic Alternatives Process, the Board shall, in connection with the establishment of any such committee, cause the Third Point Designees to be members of such committee; provided that no Board Designee shall be entitled to be a member of any committee formed for the purpose of evaluating and/or taking action with respect to any transaction with such Board Designee or its respective Affiliates.
