At any time or from time to time after the date of this Agreement, Stratagene, on the one hand, and ▇▇▇▇▇, on the other hand, agree to cooperate with each other, and at the request of the other party, to execute and deliver any further instruments or documents and to take all such further action as the other party may reasonably request in order to evidence or effectuate the consummation of the transactions contemplated hereby and to otherwise carry out the intent of the parties hereunder.
Notwithstanding anything in this subsection (d) to the contrary, no indemnifying party (other than Stratagene) shall be required to contribute any amount in excess of the proceeds (net of expenses and underwriting discounts and commissions) received by such party from the sale of the Registrable Securities in the offering to which the losses, claims, damages or liabilities of the indemnified parties relate.
Stratagene further represents and warrants that the rights granted to the ▇▇▇▇▇ Entities hereunder do not in any way conflict with and are not inconsistent with any other agreements to which Stratagene is a party or by which it is bound.
Stratagene agrees to include in any such registration statement all information which, in the opinion of counsel to ▇▇▇▇▇ and counsel to Stratagene, is necessary or desirable to be included therein.
Stratagene shall pay all Registration Expenses in connection with the registration of Registrable Securities under this Section 2.1.
The ▇▇▇▇▇ Entities shall have the right to withdraw their request for inclusion of their Registrable Securities in any registration statement pursuant to this Section 2.2 at any time by giving written notice to Stratagene of their request to withdraw.
