Straddle Patient' definition

Straddle Patient' means a patient who is admitted to a healthcare facility pursuant to the Pa Contract or the NY Contract on or before the Closing Date and who is discharged from such facility after the Closing Date. Purchaser shall review, verify and pay the accounts payable and invoices related to the Straddle Patients using the same standards and degree of care that Purchaser uses in performing such functions for itself. Purchaser shall submit to Seller monthly reports indicating its disposition of such accounts payable and invoices and the amount paid by Purchaser with respect to such accounts payable and invoices. Each monthly report shall be accompanied by sufficient documentation to permit Seller to verify that the amounts paid by Purchaser as disclosed in such report related to the provision of medical services to Straddle Patients prior to the Closing Date. Seller shall notify Purchaser within seven business days of receipt of any monthly report if Seller disputes that any amount disclosed in such report related to the provision of medical services to Straddle Patients prior to the Closing Date. Seller and Purchaser shall promptly resolve any dispute regarding any amount disclosed in such report. If Seller and Purchaser are unable to resolve any dispute within 15 calendar days, the dispute will be referred to the Presidents and Chief Executive Officers of Purchaser and Seller, who shall conduct a meeting or conference call to resolve the dispute within seven business days of the referral of the dispute to them. If such officers are unable to resolve the dispute during such meeting or conference call, it will be resolved by arbitration in accordance with the provisions of this Agreement. On or before the later of (i) the first business day of the ninth month following the month in which the Closing occurs or (ii) the resolution of any arbitration regarding the amount of payments made by Purchaser on behalf of Seller with respect to Straddle Patients, Purchaser and Seller shall take such actions as may be required 40 48 pursuant to the Escrow Agreement to cause the Escrow Agent to disburse to Purchaser from the Escrow Fund (as defined in the Escrow Agreement) an amount equal to such payments, together with interest thereon at the rate from time-to-time applicable to borrowings under Purchaser's senior secured credit agreement, the amount of which shall be calculated and certified by the agent bank under such credit agreement.

  • If the payor of any Straddle Patient cannot or does not for any reason accept cut-off b▇▇▇▇▇▇▇, then Buyer, to the extent Buyer has an agreement with such payor, shall submit b▇▇▇▇▇▇▇ to such payor for the entire portion of such Straddle Patient’s stay.

  • Seller shall then remit to Buyer within fifteen (15) days after each receipt of payment with respect to such billing the amount determined by multiplying the total payment received for such Straddle Patient by a fraction, the numerator of which shall be the number of days such Straddle Patient was a patient following the Cutoff Date, and the denominator of which shall be the total number of days such Straddle Patient was a patient, both before and after the Cutoff Date.

  • If the payor of any Straddle Patient cannot or does not for any reason accept cut-off ▇▇▇▇▇▇▇▇, then Buyer, to the extent Seller or Buyer has an agreement with such payor, shall submit ▇▇▇▇▇▇▇▇ to such payor for the entire portion of such Straddle Patient’s stay.

  • To the extent that Buyer does not have an agreement with such payor, then Buyer shall, within five (5) days from the date of discharge of any Straddle Patient, provide Seller with such documentation as may be necessary, including but not limited to remittance advices or other documentation related thereto, for Seller to submit ▇▇▇▇▇▇▇▇ to such payor for the entire portion of such Straddle Patient’s stay.

  • If the Payor of any Straddle Patient cannot for any reason accept cut-off bill▇▇▇▇, ▇▇en the Purchasing Party shall notify the Transferring Party of same, and the Transferring Party shall deliver to the Purchasing Party a statement calculating the total charges made by the Transferring Party for services rendered and medicine, drugs and supplies provided through the Closing Date with respect to such Straddle Patient.

  • If the Payor of any Straddle Patient cannot for any reason accept cut-off bill▇▇▇▇, ▇▇en Seller shall deliver to Buyer a statement calculating the total charges made by Seller for services rendered and medicine, drugs and supplies provided through the Closing Date with respect to such Straddle Patient.

Related to Straddle Patient'

  • Straddle Period means any taxable period beginning on or before the Closing Date and ending after the Closing Date.

  • Straddle Tax Period means any taxable period beginning on or before and ending after the Closing Date.

  • Post-Closing Straddle Period has the meaning set forth in Section 7.1(a).

  • Tax Period means, with respect to any Tax, the period for which the Tax is reported as provided under the Code or other applicable Tax Law.

  • Pre-Closing Straddle Period means the portion of any Straddle Period ending on the Closing Date.
