Store Property definition

Store Property means each of the retail optical stores leased or subleased by the Company or any of Guarantor (including any Real Estate Affiliate) with the business and assets (other than real property) thereof owned and operated by the Company and any Guarantor and any Franchise at the real properties situated at the locations listed on Schedule 1.01 hereto, as such schedule may be amended, from time to time, by the Company.
Store Property and "Store Properties" are defined in the recitals of this Agreement and includes the Owned Real Property and the property subject to the Leases.
Store Property shall have the meaning set forth in Section 6.23.

Examples of Store Property in a sentence

  • Each Party agrees to cooperate with the other Party, and to cause its Affiliates and successors to do so, in the preparation for and prosecution of the defense of any Legal Proceeding arising out of or relating to any Store Property related to facts or circumstances that arose prior to the Closing.

  • Any failure to satisfy the condition herein with respect to one or more, but not all of the Store Properties shall not result in a termination of this Agreement or the Parties' obligations, but shall result in the application of Section 4.5 hereof with respect to the affected Store Property.

  • Contributors shall not be liable or bound in any manner by any oral or written statements, representations or information provided by any Tenant, any Anchor Store, Property Owner's Property Manager, any governmental authority or any of such parties' personnel, employees or contractors (including any on site building manager or building engineer).

  • Loan Parties have requested that Administrative Agent, Co-Collateral Agents and Lenders amend certain provisions of the Forbearance Agreement and the Credit Agreement to reduce the Aggregate Revolving Commitments and to add the 49 “front stores” listed on Exhibit D attached to this Agreement to the Store Closure and Closed Store Property Liquidation.

  • Assignor has paid all sales and use taxes that were due and owing, if any, upon its acquisition of the Gant Store Property and no further sales or use taxes are due and owing.

  • All service contracts and vendor and contractor warranties covering any equipment or machinery included in the Gant Store Property are listed on Schedule 7.

  • In the event that Buyer is unable to reach an agreement with the landlord of thesuch Store Property on terms satisfactory to Buyer in its sole discretion (provided, that Buyer shall negotiate in good faith with each applicable landlord) prior to the Initial Closing (or such longer period as may be agreed by the Parties), then Buyer may elect, by delivering written notice to Sellers prior to the Initial Closing, to treat thesuch Store Property and the related Assets as Excluded Assets.

  • Except as set forth in Section 2.8(a) of the Disclosure Schedule, neither the whole nor any material portion of any Store Property, parking area or access to such Store Property or the Corporate Headquarters currently has been damaged or destroyed by fire or other casualty.

  • Upon the commencement of the Inventory Count as to any Store Property the store will be closed for retail business and there will be no further conditions to the Buyer's obligation to purchase the Acquired Assets with respect to such Store Property in accordance with the terms of the Agreement.

Related to Store Property

  • Operating Property means any property owned, leased, or operated by the Party in question or by any of its Subsidiaries or in which such Party or Subsidiary holds a security interest or other interest (including an interest in a fiduciary capacity), and, where required by the context, includes the owner or operator of such property, but only with respect to such property.

  • Adjoining Property means any adjoining or neighbouring premises in which the Landlord or a Group Company of the Landlord holds or shall at any time during the Term hold a freehold or leasehold interest;

  • Rental Property means a hotel room, vacation home, or other rental property You booked for Your stay during Your Trip.

  • Income Property means, in respect of each Sub-Fund, (a) all interest, dividends and other sums deemed by the Trustee, (after consulting the auditors either on a general or case by case basis), to be in the nature of income (including taxation repayments, if any) received or receivable by the Trustee in respect of the Deposited Property of the relevant Sub-Fund (whether in cash or, without limitation, by warrant, cheque, money, credit or otherwise or the proceeds of sale or transfer of any Income Property received in a form other than cash); (b) all interest and other sums received or receivable by the Trustee in respect of (a), (c) or (d) of this definition; (c) all cash payments received or receivable by the Trustee for the account of the relevant Sub-Fund in respect of an Application; and (d) all Cancellation Compensation received by the Trustee for the account of the relevant Sub-Fund; (e) any payments to be received or are receivable by the Trustee under any contractual agreements in the nature of investments for the benefit of the relevant Sub-Fund but excluding (i) the Deposited Property; (ii) any amount for the time being standing to the credit of the distribution account for the account of the relevant Sub-Fund or previously distributed to Unitholders; (iii) gains for the account of the relevant Sub-Fund arising from the realisation of Securities; and (iv) any sums applied towards payment of the fees, costs and expenses payable by the Trust from the Income Property of the relevant Sub-Fund;

  • Mixed-use property means an eligible property that includes three or more residential units and may also contain a commercial property component in the same building.
