Stock Shortfall definition

Stock Shortfall means any period of time during which Merrill Lynch (i) is required to re-deliver shares of Common Stock ▇▇ ▇▇▇ l▇▇▇▇▇ of such shares at the demand of such lender and (ii) is unable to satisfy such obligation in full by the use of reasonable commercial efforts to borrow shares of Common Stock from another lender or lenders.
Stock Shortfall has the meaning set forth in Section 2.4(b)(ii).
Stock Shortfall means any period of time during which ▇▇▇▇▇▇▇ ▇▇▇▇▇ (i) is required to re-deliver shares of Common Stock to any lender of such shares at the demand of such lender and (ii) is unable to satisfy such obligation in full by the use of reasonable commercial efforts to borrow shares of Common Stock from another lender or lenders.

Examples of Stock Shortfall in a sentence

  • Notwithstanding the foregoing, during such time that the Common Stock continues to be listed on any U.S. national securities exchange, if a Market Disruption Event that is not waived by the Holder occurs on each Trading Day in a Stock Shortfall Period, clause (y) of the foregoing sentence shall be deemed to be equal to zero (0) for such Stock Shortfall Period.

  • One-half of the Stock Shortfall shall be deducted from the Stock Holdback and Seller Parties shall promptly (and in any event within five (5) days) return to Purchaser shares of common stock of Brookside paid at Closing in an amount equal to the other half of the Stock Shortfall.
