Stock Closing Value definition

Stock Closing Value means the last reported sale price per share of the Buyer Common Stock on The Nasdaq National Market on the last trading day prior to the Closing Date.

  • In lieu of any fractional Initial Shares that would have otherwise been issued, each former Company Stockholder that would have been entitled to receive a fractional Initial Share shall, upon proper surrender of such person's Certificates, receive a cash payment equal to the Stock Closing Value, multiplied by the fraction of a share that such Company Stockholder would otherwise be entitled to receive.
