As soon as reasonably practicable following the Stipulation Date (and in any event not later than three (3) business days following the Stipulation Date), PAN shall issue to Juniper a warrant in the form attached hereto as Exhibit D (the “Warrant”) to purchase 463,177 shares of common stock (the “Warrant Shares”), which is equal to the quotient (rounded to the nearest whole number) of $30,000,000.00 divided by the Average Price.
PAN shall file pursuant to paragraph I.D of the General Instructions relating to automatic shelf offerings by well-known seasoned issuers, a registration statement on Form S-3 (the “Registration Statement”) under the Securities Act registering the resale of the Settlement Securities no later than the later of (i) June 10, 2014 or (ii) three (3) business days following the Stipulation Date (but in any event no sooner than the date on which the Warrant is issued).
As soon as reasonably practicable following the date upon which a judgment or stipulation for entry of judgment has been issued by the courts in each Court Proceeding (the “Stipulation Date”) (and in any event not later than three (3) business days following the Stipulation Date), PAN shall pay to Juniper the aggregate sum of $75,000,000.00 by wire transfer to an account specified by Juniper in writing to PAN.
The Company will not be entitled to receive anything from the Bank for the expenses related to the preparation of this contract and the Guarantee Contracts until the Stipulation Date.
The Company and the Bank must pay, each in its own portion, the costs and expenses (including legal fees) incurred by each of them in connection with any modification, waiver or agreement that becomes necessary in connection with this contract and the Guarantee Contract after the Stipulation Date.
Subject to the immediately following sentence, in the event that any of these conditions subsequent shall fail to have been satisfied or waived by SBC in writing on or before October 14, 2002 (subject to extension as set forth below), then this Amendment No. 1 shall be null and void, ab initio, and the Parties shall be restored to their respective rights and obligations as in existence immediately prior to the Stipulation Date.
Provided that this is not in breach of the prohibitions imposed by the current regulations and/or those agreed upon or assumed by the Beneficiary before the Stipulation Date, promptly provide the Agent Bank with clarification requested in relation to the documentation and the circumstances mentioned in point 1 of this annex.
Not to incur and ensure that the other companies of the Group of the Beneficiary do not incur, after the Stipulation Date, and without the prior written consent of the Agent Bank, which shall not be unreasonably denied, secured financial indebtedness toward other banks and other financial subjects different from the Lending Party.
Ensure that the payment obligations of the Beneficiary pursuant to this Agreement and/or the other Financial Documents are not deferred in favour of other payment obligations undertaken by the Beneficiary and/or the other companies of the Group of the Beneficiary after the Stipulation Date, excepting those with priority assigned by the law applicable to the Beneficiary.
The Beneficiary declares and guarantees the following to the Lending Party, with explicit agreement that these declarations and guarantees, insofar as applicable, are released on the Stipulation Date and renewed, except for the one provided in paragraph 1 (Company Structure), at each Disbursement Date and at each Interest Payment Date occurring throughout the duration of this Agreement.
